21.05.2026, Zurich - On May 13, 2026, Boris Siegenthaler, founder of Infomaniak, transferred the majority of Infomaniak's voting rights to a new non-profit Swiss foundation. An irrevocable and rare step in Europe, preventing one of the pioneers of the European web from any takeover.

Infomaniak emerged in 1994 from a club of computer enthusiasts and has always stayed true to its DNA: independence, digital sovereignty, privacy protection, and local anchoring. From a pioneer in internet access and hosting in Switzerland to a recognized cloud provider across Europe - this commitment is now anchored in an irrevocable structure.

A Charitable Mission

Recognized as non-profit, the Infomaniak Foundation fulfills two distinct roles. First, to support independent projects of general interest in four areas: digital sovereignty and education, ethical digitalization, environment and biodiversity, and energy transition. Second, acting as the reference shareholder of Infomaniak Group SA to guarantee the independence and continuity of the company's ethical mission.

The foundation continues and strengthens work already begun. Infomaniak has been supporting significant open-source initiatives like Debconf, training projects such as 42 Lausanne, and environmental efforts like Agent Green, whose founder Gabriel Paun was awarded the United Nations Champions of the Earth prize in 2024.

Its board of trustees comprises four volunteer members: Marc Maugué, active for many years in the foundation sector of Western Switzerland, Jonathan Normand, involved in governance and strategies with positive impact in Switzerland, Claire Siegenthaler, representing the third generation of a family committed to ecological and ethical concerns, and Boris Siegenthaler, founder and Chief Strategy Officer of Infomaniak, who will assume the chairmanship of the board for an initial three-year period.

Why Now?

Thirty-two years after founding Infomaniak, Boris Siegenthaler explains his decision: "The trust placed in us by millions of private individuals and hundreds of thousands of companies and institutions is immense today. In the age of AI, the data they entrust to us has strategic value for their future. This foundation is the guarantee I owe them: Their choice is now protected in the long term." - Boris Siegenthaler

The cloud market is experiencing unprecedented acceleration, marked by growing dependencies on American giants. European technological know-how has largely concentrated across the Atlantic, climate challenges require rethinking the digital footprint, and several European cloud providers have recently been acquired by foreign companies, exposing their customers to non-European jurisdictions.

For Infomaniak, this foundation is the culmination of over thirty years of commitment to sovereign, responsible, and sustainable digitalization. It also creates the necessary condition for any future development of the shareholder structure: No investor, now or in the future, can change the DNA, mission, or independence of the company. The company can accelerate its development and safely absorb the resources needed for its growth without ever jeopardizing commitments made to its customers.

A New Shareholder Structure

For years, Boris Siegenthaler had gradually opened Infomaniak's capital to 36 key employees. Yet a company whose independence relies on a single person remains fragile. The foundation now serves as this guarantee, independent of any person.

As the reference shareholder of Infomaniak Group SA, the foundation exercises the majority of voting rights through special shares that can never be sold. All the company's shareholders (Boris Siegenthaler and 36 employees) unanimously agreed to this transaction, accepting to reduce their voting rights. To date, Infomaniak has no external investors.

The company will continue to be led by its management team: Marc Oehler (CEO), Céline Morey (CFO), and Boris Siegenthaler (CSO), remaining fully committed to Infomaniak's strategy. The foundation does not make operational, commercial, or technical decisions.

A Long-term Protected Commitment

The participation charter signed by the founder is the reference document defining Infomaniak's commitments to sovereignty, sustainability, privacy protection, and local anchoring. The foundation is their guarantor. Every year, Infomaniak Group SA will report publicly on the adherence to these commitments.

No takeover, sale, or change of control can occur in the future without the foundation's consent, permanently ensuring the independence and mission of Infomaniak. Infomaniak can never be sold or deviated from its mission.
